BOARD OF DIRECTORS MEETING
August 22, 2024
IN ATTENDANCE
Board members in attendance: Mr. Doug Duncan. Mr. Craig Anderson and Mr. Mike Needler, on the Zoom call. David Kelley was absent.
Also in attendance: Mr. Dana Snyder, Assistant Vice President
Office Manager, Tina Gerhardt, and Dockmaster, Austin Bynum
Three (3) Slip-Owners represented In-person: Mr. Dana Snyder, Mr. Dennis Lapidus, and Mr. Ron Homeu.
Attending via Zoom call were five (5) slip owners: Mr. Mark Stevens, Mr. Mark Bando, Mr. Robert Elling, Mr. Rod Strickland and Ms. Louise McMahon.
CALL TO ORDER
President Duncan called the meeting to order at 8:08 A.M and announced that three of the four Board members are in attendance. Mr. Needler confirmed that proper notice had been made forty-eight (48) hours prior to the meeting.
APPROVAL OF MINUTES
The Board had previously reviewed the second draft of the June 27, 2024 minutes.
Mr. Needler made a motion to accept the minutes as presented, Mr. Anderson seconded the motion, and all Board members voted to approve the motion.
TREASURER’S REPORT
Treasurer Anderson reported the July financial statements had not been completed and the May and June financial statements needed to be corrected. This was due to a leave of absence by Kerry Johnson our accountant at Meyers Brettholtz, (MB). Mr. Anderson shared that MB is to develop an agreement on getting up to date and how our account will be managed.
Mr. Anderson reported total cash as of June 30 was $2,673,111 and based on limited financials the marina is on budget. The hurricane account has a balance of $387,260. Receivables are clean after Tina Gerhardt, Office Manager, made reminder collection calls. Accounts balances of $1.00 or less were cleared. Mr. Anderson reported on the office audit of fuel COG and electric billing. Mr. Anderson reported 2025 budgeting will begin in September after the August close.
Mr. Anderson made a motion to accept the financial report as presented, Mr. Duncan
seconded the motion and all Board members voted to approve the motion.
MARINA APPEARANCE COMMITTEE
Dockmaster, Austin Bynum reported for Mr. Kelley, Director Marina
Appearance/Buildings and Grounds. Dock-master Bynum reported on the status of several projects. Landscaping, pavers, sidewalk replacement, irrigation and parking lot are continuing to progress throughout the marina.
SECRETARY’S REPORT
Mr. Needler, Secretary, reported that no Marina Update was sent to members, however a new GH Marina Newsletter was prepared by Office Manager, Tina Gerhardt. This newsletter will be prepared and sent periodically between Board meetings. Minutes have been prepared and posted to Marina’s website after approval. Mr. Needler had previously shared the schedule of advertising via an email to each director. A copy of that schedule is attached herein.
OLD BUSINESS
Mr. Snyder reported the installation of the pump-out system has been completed and we are waiting for State of Florida approval. The reconstruction of the marina is very close to being completed. Dockmaster Bynum and Mr. Snyder reported on: Veeder root system, electric meters update and concrete/pavers planned completion date.
NEW BUSINESS APPOINTMENT OF DIRECTOR
Mr. Duncan offered a motion to appoint Mr. Kirk Hamilton to complete the unexpired term of recently resigned Board member, Mr. Stephen Patterson. The motion was seconded by Mr. Needler. All Board members voted to approve the motion. Mr. Duncan noted that Mr. Hamilton was not present and he would so advise him of the appointment to the GH Marina Board of Directors, Class of 2025.

Next Gulf Harbour Marina Board meeting date will be at 8:00 A.M. on September 19, 2024.
ADJOURNMENT
Mr. Needler made a motion for adjournment and Mr. Anderson seconded the motion and all board members present voted to approve the motion. Mr. Duncan announced the adjournment of the meeting.
